  1. SOFTWARE LICENSE AGREEMENT
  2. vizProxy for WINDOWS 98(tm) & WINDOWS NT(tm)
  3.  
  4. IMPORTANT-- READ CAREFULLY.
  5.  
  6. THE FOLLOWING LICENSE AGREEMENT APPLIES TO YOU.  BY
  7. OPENING THE SEALED PACKET(S) CONTAINING THE SOFTWARE,
  8. YOU INDICATE YOUR ACCEPTANCE OF THE FOLLOWING SOFTWARE
  9. LICENSE AGREEMENT.
  10.  
  11. This is a legal agreement between you (either an individual or an entity)
  12. and The ViZual Group, an Arizona company.   By opening the sealed software
  13. packages and/or by using vizProxy for Windows 98/Windows NT Workstation software, you
  14. agree to be bound by the terms of this Agreement.  If you do not agree to the
  15. terms of this Agreement, promptly return the disk package and accompanying items
  16. (including printed materials and binders or other containers) to the place you
  17. obtained them for a full refund.
  18.  
  19. 1. GRANT OF LICENSE.
  20.  
  21. This Software License Agreement ("License") permits you to use one copy
  22. of The ViZual Group's vizProxy for Windows 98/NT Workstation software and 
  23. The ViZual Group's associated user documentation ("Software") on one workstation
  24. running Microsoft Windows 98 or NT Workstation.  With respect to a network,
  25. Licenses must be obtained for each computer, including the server.  If you
  26. have multiple Licenses for the Software, then at any time you may have as
  27. many copies of the Software in use as you have Licenses.  The Software is in
  28. use on a computer when it is loaded into the temporary memory (i.e., RAM) or
  29. installed into the permanent memory (e.g., hard disk, CD-ROM or other storage
  30. device) of that computer, except that a copy installed on a network server for
  31. the sole purpose of distribution to other computers is not "in use".
  32.  
  33. 2. COPYRIGHT.
  34.  
  35. The Software is owned by The ViZual Group or its suppliers and is protected by United
  36. States copyright laws and international treaty provisions.  Therefore, you must
  37. treat the Software like any other copyrighted material (e.g. a book or musical
  38. recording) except that you may either (a) make one copy of the Software solely
  39. for backup or archival purposes, or (b) transfer the Software to a single hard
  40. disk provided you keep the original solely for backup or archival purposes.  You
  41. may not copy the user documentation provided with the Software, except for your
  42. own authorized use.
  43.  
  44. 3. OTHER RESTRICTIONS.
  45.  
  46. This License is your proof of license to exercise the rights granted herein and
  47. must be retained by you.  You may not rent or lease the Software, but you may
  48. transfer the Software and user documentation on a permanent basis provided you
  49. retain no copies and the recipient agrees to the terms of this Agreement.  You
  50. may not reverse engineer, decompile, or disassemble the Software, except to the
  51. extent that the foregoing restriction is expressly prohibited by applicable law.
  52. If the Software is an update or has been updated, any transfer must include the
  53. most recent update and all prior versions.
  54.  
  55. 4. LIMITED WARRANTY.
  56.  
  57. The ViZual Group warrants that (a) the Software will perform substantially in accordance
  58. with the user documentation for a period of ninety (90) days from the date of
  59. receipt. Any implied warranties on the Software are limited to ninety (90) days.
  60. Some states/jurisdictions do not allow limitations on duration on an implied
  61. warranty, so the above limitation may not apply to you.  This limited warranty is
  62. void if failure of the Software has resulted from accident, abuse or misapplication.

  64. 5. CUSTOMER REMEDIES.
  65.  
  66. The ViZual Group and its suppliers' entire liability and your exclusive remedy shall be, at
  67. The ViZual Group's option, either (a) return of the price paid, or (b) replacement of the
  68. Software that does not meet The ViZual Group's limited warranty and which is returned to
  69. The ViZual Group with a copy of your receipt.  This limited warranty is void if failure of
  70. the Software has resulted from accident, abuse, or misapplication.  Any replacement
  71. Software will be warranted for the remainder of the original warranty period or
  72. thirty (30) days, whichever is longer.  Outside the United States, neither these
  73. remedies nor any product support services offered by The ViZual Group are available without
  74. proof of purchase from an authorized non-U.S. source.
  75.  
  76. 6. NO OTHER WARRANTIES.
  77.  
  78. THE VIZUAL GROUP DOES NOT WARRANT THE FUNCTIONS CONTAINED IN THE SOFTWARE
  79. WILL MEET YOUR REQUIREMENTS OR THAT THE OPERATION OF THE SOFTWARE
  80. WILL BE UNINTERRUPTED OR ERROR FREE. THE ENTIRE RISK AS TO THE QUALITY
  81. AND PERFORMANCE OF THE SOFTWARE IS WITH YOU.  TO THE MAXIMUM EXTENT
  82. PERMITTED BY APPLICABLE LAW, THE VIZUAL GROUP AND ITS SUPPLIERS DISCLAIM ALL
  83. OTHER WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED
  84. TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR
  85. PURPOSE, WITH REGARD TO THE SOFTWARE AND THE ACCOMPANYING WRITTEN
  86. MATERIALS.  THIS LIMITED WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS.  YOU
  87. MAY HAVE OTHERS WHICH VARY FROM STATE/JURISDICTION TO STATE/JURISDICTION.

  89. 7. NO LIABILITY FOR CONSEQUENTIAL DAMAGES.

  91. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL
  92. THE VIZUAL GROUP OR ITS SUPPLIERS BE LIABLE FOR ANY DAMAGES WHATSOEVER
  93. (INCLUDING WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS,
  94. BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER
  95. PECUNIARY LOSS) ARISING OUT OF THE USE OR INABILITY TO USE THE VIZUAL
  96. GROUP PRODUCT, EVEN IF THE VIZUAL GROUP HAS BEEN ADVISED OF THE POSSIBILITY
  97. OF SUCH DAMAGES.  BECAUSE SOME STATES/JURISDICTIONS DO NOT ALLOW THE
  98. EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL
  99. DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

  101. 8. U.S. GOVERNMENT RESTRICTED RIGHTS.
  102.  
  103. The Software and documentation are provided with RESTRICTED RIGHTS.  Use, duplication,
  104. or disclosure by the Government is subject to restrictions as set forth in subparagraph
  105. (c)(1)(ii) of the Rights in Technical Data and Computer Software clause at DFARS
  106. 252.227-7013 or subparagraphs (c)(1) and (2) of the Commercial Computer Software--Restricted
  107. Rights at 48 CFR 52.227-19, as applicable.
